1. Agreement and scope

These Terms of Use ("Terms") are between you and Design Agentic LLC, doing business as KeptDesk ("Design Agentic," "KeptDesk," "we," "us," or "our"). They apply to keptdesk.com, business inquiries submitted to us, and the KeptDesk transactional text messaging program.

By accessing the website or choosing to receive KeptDesk-facilitated text messages, you agree to these Terms and the Privacy Policy. A business customer's use of the managed KeptDesk service is governed by a separate written agreement. If that agreement conflicts with these Terms, the written customer agreement controls for that customer.

2. KeptDesk services

KeptDesk operates managed AI answering and intake desks for participating businesses. An AI assistant may answer a call or web conversation, collect information requested by the participating business, apply configured qualification and escalation rules, offer scheduling, and create records for review.

The participating dealership, law firm, or other business—not KeptDesk—provides the underlying professional or commercial service and is responsible for its decisions, advice, appointments, availability, and customer relationship. An intake or qualification status is an application of that business's configured criteria, not a legal-merit determination, guarantee of representation, repair diagnosis, or promise of an appointment.

3. Acceptable use

You agree not to:

• use the website or service unlawfully, fraudulently, or to harm another person;
• attempt to bypass access controls, obtain another person's information, extract hidden instructions, or interfere with service operation;
• submit malicious code, automated abuse, false identity information, or content you do not have the right to provide;
• use a marketing or contact form to submit legal-case facts, health information, payment-card information, government identifiers, or other sensitive personal information; or
• copy, reverse engineer, scrape, or exploit the service except as permitted by law or written authorization.

4. KeptDesk Text Messaging Terms

Program name and purpose. KeptDesk, operated by Design Agentic LLC, facilitates transactional booking-link and appointment-confirmation messages for participating businesses. The program is not used for promotional campaigns, lead nurturing, or unsolicited marketing.

How you opt in. You opt in when you initiate a call or web conversation with a participating business, ask to receive scheduling information by text, provide a mobile number, and affirmatively consent to the disclosed transactional messages. Consent applies to the requested scheduling interaction and the participating business identified during the conversation.

Message frequency and charges. Message frequency varies based on the scheduling activity you request and may include a requested booking link, appointment confirmation or status message, and legally required opt-out or help responses. Message and data rates may apply. Consent to receive texts is not a condition of purchasing any goods or services.

Opt-out and help. Reply STOP to opt out. After STOP, you may receive one confirmation of the opt-out and no further program messages unless you reply START or separately provide new consent where permitted. Reply HELP for assistance. You may also contact KeptDesk using the information below.

Delivery. Messages may be sent using an automated system. Delivery is subject to carrier availability and is not guaranteed. Mobile carriers are not liable for delayed or undelivered messages. Keep your mobile number accurate and promptly notify the participating business if it changes.

Privacy. We use mobile numbers and consent records as described in the Privacy Policy. Mobile opt-in information and consent are not shared with third parties or affiliates for their marketing or promotional purposes.

5. Third-party services and links

The website and KeptDesk service may link to or rely on third-party communications, scheduling, hosting, AI, security, and business systems. Their services are governed by their own terms and privacy policies. KeptDesk is not responsible for third-party content, availability, or practices, although we select and manage providers as part of operating the service.

6. Ownership and feedback

The website, KeptDesk software, designs, text, graphics, trademarks, and related materials are owned by Design Agentic LLC or its licensors and are protected by applicable law. These Terms do not grant you ownership of KeptDesk or permission to use KeptDesk branding outside ordinary references to the service.

If you provide suggestions or feedback, you grant Design Agentic a nonexclusive, worldwide, perpetual, irrevocable, royalty-free right to use that feedback without restriction or compensation, provided we do not publicly identify you without permission.

7. Disclaimers

THE WEBSITE AND PUBLICLY AVAILABLE MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, DESIGN AGENTIC DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE WEBSITE, AI OUTPUT, COMMUNICATIONS, LINKS, OR THIRD-PARTY SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, COMPLETELY SECURE, OR SUITABLE FOR A PARTICULAR DECISION. ILLUSTRATIVE CONVERSATIONS, CALCULATORS, BENCHMARKS, AND ESTIMATES ARE EXAMPLES AND ARE NOT GUARANTEES OF RESULTS.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DESIGN AGENTIC AND ITS MEMBERS, PERSONNEL, AND PROVIDERS WILL NOT BE LIABLE UNDER THESE TERMS FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING FROM THE WEBSITE OR PUBLIC TEXT-MESSAGING PROGRAM.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DESIGN AGENTIC'S TOTAL LIABILITY ARISING FROM THESE TERMS WILL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID DESIGN AGENTIC FOR THE SPECIFIC PUBLIC SERVICE GIVING RISE TO THE CLAIM DURING THE SIX MONTHS BEFORE THE EVENT. Some jurisdictions do not permit certain exclusions or limitations, so portions of this section may not apply to you.

9. Changes and termination

We may modify these Terms by posting an updated version and revising the date above. Changes apply prospectively when posted unless a later date is stated. We may suspend or terminate access to the website or public communications program for abuse, security risk, legal requirements, service changes, or discontinuation.

If any provision is unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will remain effective. A failure to enforce a provision is not a waiver. These Terms, the Privacy Policy, and any applicable customer agreement constitute the relevant agreement for their respective subject matter.
